Scope and Acceptance
These Terms are between you and TOKENWAY AI PTE. LTD., Singapore, operating as TokenWay. They govern access to and use of the TokenWay website, enterprise inquiry process, customer portal, Token API, Token Factory, related documentation, and authorized support. By accessing the website or using an approved enterprise service, you accept these Terms on behalf of yourself and, where applicable, the organization you represent.
Public access to the website or submission of an enterprise inquiry does not create a customer account, approve service access, or commit TokenWay to provide any service. Support content is information that you voluntarily submit through an authorized support channel and is handled as described below.
Enterprise Agreement
An Enterprise Agreement means the master services agreement (MSA), order form, service schedule, data processing agreement (DPA), statement of work (SOW), and any other written terms that TokenWay and the customer sign for approved services. If a signed Enterprise Agreement expressly conflicts with these Terms, the express conflicting provision of the Enterprise Agreement controls for the services covered by it.
Services
Token API provides approved access to a focused set of models. Token Factory provides agreed deployment, optimization, and operations work for customer infrastructure. The specific services and permitted scope are those stated in the applicable Enterprise Agreement.
Website materials and discussions do not promise access to any uncontracted model or any uncontracted region, performance level, service level, capacity, or feature.
Authorized Users and Credentials
The customer is responsible for its authorized users, their compliance with these Terms and the Enterprise Agreement, and all activity conducted through customer accounts and API keys. The customer must protect credentials and API keys from unauthorized use and promptly notify TokenWay of suspected loss, disclosure, compromise, or misuse.
Provider and Model Terms
The customer must comply with applicable model licenses, geographic restrictions, acceptable-use terms, and other provider conditions disclosed for the approved service. TokenWay does not claim ownership of third-party models, and access through TokenWay does not grant rights beyond those permitted by the applicable owner or provider.
Customer Content
Customer Content means prompts, inputs, files, instructions, outputs, and related data submitted to or returned through an approved service. You retain the rights you hold in Inputs. Rights in Outputs may depend on applicable law and applicable model terms.
Inference Content means the prompts, messages, attachments, other inputs, and model outputs processed through Token API.
For Token API, Inference Content is processed transiently only to perform the authorized request and is handled according to the Data Policy. TokenWay does not retain Inference Content for routine troubleshooting. Content that you voluntarily submit through an authorized support channel is support content and is handled separately for the support purpose.
You represent that you have the rights, permissions, notices, and consents needed to submit Customer Content. You are responsible for evaluating Outputs, which may be inaccurate, incomplete, non-unique, or unsuitable for a particular purpose.
Acceptable Use
You must not use the website or services for fraud, malware, unauthorized access, infringement, unlawful surveillance, abuse, prohibited weapons activity, or circumvention of safety, security, access, usage, or model safeguards. You must not assist another person in doing so.
Uses that materially affect a person's rights, safety, eligibility, employment, credit, healthcare, or access to important services require appropriate safeguards and qualified review before a decision or action is taken. You remain responsible for the way you use Customer Content, Outputs, and the services.
Fees and Commercial Terms
Pricing, usage metering, invoices, payment timing, taxes, service credits, and any refund rights are determined only by the applicable Enterprise Agreement. Website content does not create a price offer, credit, or refund entitlement.
Suspension and Termination
Subject to the applicable Enterprise Agreement, TokenWay may restrict or suspend approved enterprise service access when reasonably necessary to address a security risk, nonpayment, unlawful use, breach of these Terms or the Enterprise Agreement, sanctions or restricted-party concerns, or material operational harm. TokenWay will provide notice where practical and lawful. Termination and its effects are governed by the applicable Enterprise Agreement.
Third-Party Services and Availability
Services may depend on third-party infrastructure, networks, model providers, software, and other technical services. Those dependencies may affect functionality and availability.
TokenWay makes no uptime, region, throughput, latency, capacity, or support commitment unless it is expressly stated in an applicable Enterprise Agreement.
Intellectual Property and Feedback
As between the parties, the customer retains its rights in Customer Content. TokenWay and its licensors retain their rights in the website, services, documentation, software, methods, designs, trademarks, and other service materials. Open-source software and third-party materials remain owned by their respective owners and are subject to their applicable terms.
If you voluntarily provide feedback about the website or services, TokenWay may use that feedback without restriction or obligation, subject to applicable law and any agreed confidentiality obligations. Feedback does not include Customer Content or confidential information identified as such.
Confidentiality
For approved services and authorized enterprise discussions, each party will use reasonable care to protect the other party's confidential information, use it only for the purpose for which it was disclosed, and disclose it only to personnel and contractors who need to know it and are bound by appropriate confidentiality duties.
Confidentiality obligations do not apply to information that is public through no breach, was already lawfully known without restriction, is lawfully received from another source without a confidentiality duty, or is independently developed without use of the confidential information. A party may disclose information when legally required, with advance notice where lawful and practical.
Disclaimers
Except for commitments expressly stated in an applicable Enterprise Agreement, the website and services are provided as is and as available, without warranties of any kind to the maximum extent permitted by law.
Outputs may be inaccurate, incomplete, non-unique, harmful, or unsuitable for a particular purpose. You are responsible for reviewing Outputs and deciding whether and how to use them.
Limitation of Liability
Any allocation or limitation of liability in an applicable Enterprise Agreement controls for the services covered by it. Where no such allocation applies, TokenWay's liability is limited to the maximum extent permitted by law, including the exclusion of indirect, incidental, special, exemplary, punitive, and consequential damages where permitted. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
Export and Sanctions Compliance
The customer must comply with applicable export-control, economic-sanctions, restricted-party, and model-access restrictions. The customer must not permit access, transfer, or use in a prohibited location, by a prohibited party, or for a prohibited end use.
Changes and Contact
TokenWay may revise these Terms by publishing an updated version with a revised effective date. Changes apply prospectively unless applicable law requires otherwise or an Enterprise Agreement states otherwise.
